1. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you represent that you have permission from a parent or legal guardian to use the Services.

• Use the Services to generate or distribute harmful, misleading, or unlawful content

We reserve the right to suspend or terminate access if we reasonably believe that you have violated these Terms.

3. Accounts and Access

Some features may require you to create an account. You are responsible for:

• Providing accurate and complete account information
• Maintaining the confidentiality of your login credentials
• All activities that occur under your account

We are not responsible for unauthorized access resulting from your failure to safeguard account credentials.

4. AI-Assisted Features

The Services may include AI-assisted features that generate outputs such as analyses, explanations, suggestions, or recommendations based on user inputs.

You acknowledge and agree that:

• AI-generated outputs may be inaccurate, incomplete, or inappropriate
• Outputs are provided for informational and assistive purposes only
• You are solely responsible for evaluating and verifying outputs before relying on them

The Services do not provide professional, legal, medical, or educational advice.

5. User Content

You retain ownership of any content you submit through the Services (“User Content”).

By submitting User Content, you grant VerveAI a non-exclusive, worldwide, royalty-free license to use, process, store, and display such content solely for the purpose of operating, maintaining, and improving the Services.

You represent that you have the necessary rights to submit User Content and that doing so does not violate any laws or third-party rights.

6. Intellectual Property

All content, software, models, designs, trademarks, and other materials provided by VerveAI as part of the Services are owned by or licensed to VerveAI and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.

7. Fees and Payments (If Applicable)

Certain features or Services may be offered on a paid basis. Pricing, billing terms, and payment obligations will be disclosed at the time of purchase.

All fees are non-refundable unless otherwise required by law or expressly stated in writing.

8. Third-Party Services

The Services may contain links to or integrations with third-party services. VerveAI is not responsible for third-party content, policies, or practices. Your use of third-party services is subject to their respective terms and policies.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law.

You may stop using the Services at any time.

10. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.

To the maximum extent permitted by law, VerveAI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, VerveAI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, or profits, arising out of or related to your use of the Services.

In no event shall VerveAI’s total liability exceed the amount you paid to VerveAI for the Services in the twelve (12) months preceding the claim, or CAD $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless VerveAI and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your User Content or misuse of AI-generated outputs

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
